Welcome to InteractiveFlow.ai (“Company”, “we”, “us”, or “our”), accessible via https://interactiveflow.ai and its associated subdomains, applications, and interactive endpoint software (collectively, the “Platform”).

Please read these Terms and Conditions (“Terms”, “Agreement”) carefully before accessing or using our Platform. By accessing, registering for, or using InteractiveFlow.ai, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use the Platform.

1. Acceptance of Terms & Eligibility

• Agreement: By creating an account, making a purchase, or interacting with software deployed on the Platform, you enter into a legally binding contract with InteractiveFlow.ai.
• Age Requirement: You must be at least 18 years old (or the legal age of majority in your jurisdiction) to form a binding contract with us.
• Authority: If you are accepting these Terms on behalf of a business, corporation, or organization, you represent and warrant that you have full legal authority to bind that entity to this Agreement.

2. Account Registration & Security

• Account Creation: To access certain features of the Platform, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration.
• Account Security: You are solely responsible for safeguarding your account credentials (usernames, passwords, API keys) and for all activities that occur under your account. You must notify us immediately at support@interactiveflow.ai if you suspect unauthorized access.
• Account Transferability: Accounts are assigned to specific users or enterprise organizations and may not be assigned, sold, or transferred without our prior written consent.

3. Services, Subdomains, and Kiosk Deployments

• Platform Scope: InteractiveFlow.ai provides AI-driven interactive software, workflow automation tools, customized client subdomains, and software integrations designed for public/private interactive kiosks and digital terminals.
• Subdomains & Endpoints: Content, configurations, and user interactions routed through client subdomains (e.g., clientname.interactiveflow.ai) or deployed on hardware kiosks remain subject to these Terms and our Privacy Policy.
• Service Availability & Modifications: We continually improve our Platform. We reserve the right to update, modify, suspend, or discontinue any feature, preset, or service component at any time with or without notice.

4. Subscriptions, Credits, and Billing

• Subscription Plans: Access to premium features, AI generation credits, and custom kiosk deployments is billed on a recurring subscription basis (monthly or annually) according to the pricing tier selected.
• Credits & Metered Usage: AI generations, video processing, and interactive queries are consumed via credits. Unused credits do not roll over to subsequent billing cycles unless explicitly stated in your agreement.
• Payment Processing: All payments are processed through secure third-party payment gateways (e.g., Stripe). You authorize us to charge your selected payment method for all applicable subscription fees and overage charges.
• Cancellation & Refunds: You may cancel your subscription at any time via your account settings. Cancellations take effect at the end of the current paid billing cycle. Unless required by law or specified in an enterprise service-level agreement (SLA), all fees paid are non-refundable.

5. Intellectual Property Rights

A. Our Intellectual Property

All rights, title, and interest in and to the Platform—including software, AI models, templates, UI design, graphics, motion graphics presets, trademarks, and documentation, are and will remain the exclusive property of InteractiveFlow.ai and its licensors.

B. User Content & Generated Output

• Your Inputs:You retain ownership of all text, media, assets, and branding materials (“User Inputs”) that you upload or submit to the Platform.
• Generated Outputs: Subject to your compliance with these Terms and payment of applicable fees, InteractiveFlow.ai assigns to you all its rights, title, and interest in the unique outputs, generated videos, or interactive workflows produced by the Platform specifically for your account.
• License to Us: You grant InteractiveFlow.ai a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and process your User Inputs solely to operate, provide, and improve the Platform services on your behalf.

6. Acceptable Use Policy & Conduct Guidelines

You agree not to use the Platform, including any public kiosk or interactive endpoint, to:

• Violate Laws: Engaged in any unlawful activity or violate intellectual property, privacy, or publicity rights.
• Generate Harmful Content: Create, transmit, or display hate speech, sexually explicit material, violence, defamatory content, or malicious misrepresentation.
• Impersonate or Deceive: Mislead end-users into believing they are interacting with a human when they are interacting with an AI avatar, unless clearly disclosed.
• Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying AI models of the Platform.
• System Abuse: Introduce viruses, malware, or harmful code; deploy automated scraping bots; or attempt to bypass system security, token limits, or credit balances.

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy immediately.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, INTERACTIVEFLOW.AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI-GENERATED OUTPUTS WILL BE ENTIRELY ACCURATE OR RELIABLE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INTERACTIVEFLOW.AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, GOODWILL, WORK STOPPAGE, OR HARDWARE MALFUNCTION ARISING FROM OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU TO INTERACTIVEFLOW.AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless InteractiveFlow.ai, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

• Your access to or use of the Platform;
• Your User Inputs or generated content;
• Your violation of these Terms;
• Any interactions between your deployed kiosks and third-party end-users.

10. Governing Law & Dispute Resolution

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
• Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall be settled by binding individual arbitration rather than in court, except that either party may assert claims in small claims court if the claims qualify.
• Class Action Waiver: You and InteractiveFlow.ai agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11. Termination

• By You: You may terminate your account at any time by contacting us or closing your account through the settings dashboard.
• By Us: We reserve the right to suspend or terminate your access to the Platform at our sole discretion, without prior notice, if you breach these Terms or if we cease offering the service.
• Effect of Termination: Upon termination, your right to access the Platform will immediately cease, and we may delete your stored account configurations and outputs in accordance with our data retention policies.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect via email or a prominent banner on the Platform. What constitutes a material change will be determined at our sole discretion. Your continued use of the Platform following the posting of changes constitutes acceptance of those changes.
